Terms of Service

ECI-Contractos CRM · Version 2026-09-16 · In force from September 16, 2026

These Terms govern your company's use of ECI-Contractos CRM (the "Platform"). By starting a membership you accept them on behalf of your company. If you do not accept them, do not use the Platform.

In these Terms, "we" is the operator of the Platform, "you" is the company that holds the membership, and "your data" is everything your company puts into the Platform: clients, leads, estimates, contracts, invoices, photos, worker records and payments.

1. What you are buying

1.1 A subscription, not a purchase. We grant you a limited, revocable, non-exclusive and non-transferable right to use the Platform while your membership is current and paid. The Platform is licensed, not sold. No ownership of the software, its code, its design, its data structures, its reference price catalogs or its interface passes to you.

1.2 You may not copy the Platform. You may not reproduce, adapt or create derivative works from the Platform's interface, workflows, document structures or calculation models, and you may not use screenshots, recordings or exports to build, commission or evaluate a competing product. Reverse engineering and unauthorised automated access are prohibited.

1.3 You may not resell it. Access is for your company's own business. You may not resell, sublicense, rent or otherwise give access to third parties.

2. How the Platform may be used

The following are not allowed, and each can lead to the consequences in section 8:

Where the breach is minor and in good faith, we will tell you and give you ten days to put it right. Where it puts security, other companies or third parties at risk, we may suspend access immediately.

3. Payment, renewal and cancellation

3.1 Monthly, in advance. Memberships are charged monthly, on the same day of each month, before the month they cover. Prices are shown before you confirm and do not include sales tax, which is added where it applies.

3.1a Payment processing fee. A processing fee may be added to the plan price to cover what the payment processor charges. When it applies, it is charged to every subscriber alike regardless of how they pay, it appears as its own line on your invoice, and both it and the resulting monthly total are shown before you confirm. It is not a surcharge for paying by card.

3.2 Automatic renewal. Your membership renews automatically each month until you cancel. By subscribing you authorise these recurring charges to your payment method.

3.3 Cancelling. You can cancel at any time from your own billing page. Cancellation takes effect at the end of the month you have already paid for, and you keep full access until then.

3.4 No partial refunds. We do not refund part of a month for cancelling early, for using the Platform less than expected, or for a suspension caused by a breach of these Terms.

3.5 Changing plan. Moving to a larger plan takes effect immediately and you are charged only the difference for the rest of the current month. Moving to a smaller plan takes effect when the month you have paid for ends: nothing is refunded, and nothing is taken away before that date.

3.6 Price changes. We may change prices with at least 30 days' notice by email and in the Platform. A new price never applies to a month already paid for.

3.7 Chargebacks. Disputing a charge for service that was provided is a breach of these Terms and may lead to immediate suspension. Reactivation then requires payment of the full outstanding balance.

4. What happens if a payment fails

We do not cut you off without warning. An unpaid membership follows this timetable, counted from the day the first payment failed:

DayWhat happens
0–7We retry the payment and send reminders. The Platform works normally.
8On hold. You can still open, read and export everything you own, but not create or change records.
21Suspended. Sign-in closes for everyone in your company. Your data is kept intact.
60Deleted. The account and its data are permanently removed, after notices on days 30 and 50.

Paying the outstanding balance restores the account at any point before day 60. Note that your data remains available for export throughout the "on hold" stage: being behind on a bill never traps your records.

5. Your data

5.1 It stays yours. Everything your company puts into the Platform remains your property. We acquire no rights over it beyond what is needed to provide the service to you.

5.2 You are responsible for it. You are the controller of the personal data of your own clients and workers. You are responsible for having the right to hold it, for its accuracy, for obtaining any consent the law requires — including consent to send text messages — and for answering requests from the people it concerns. We process it only on your instructions, as your processor.

5.3 We do not share it or sell it. We do not sell, rent, share or disclose your data to third parties, and we do not use it to train models, build products or produce commercial statistics. The only exception is a binding legal demand, of which we will notify you where the law allows.

5.4 Separation between companies. Every record carries the identifier of the company it belongs to, and all access passes through a single enforcement point that is verified by an automated test suite. No company can read or change another company's data.

5.5 Security. We encrypt data in transit, encrypt sensitive fields at rest (tax identifiers, mailbox credentials), store passwords only as irreversible hashes, offer a sign-in code by email, record access and changes, and take regular backups.

5.6 Incidents. If your data is affected by a security incident, we will tell you without undue delay and in any case within 72 hours of becoming aware of it.

5.7 Export and deletion. You can export your data in an open format at any time, including while your account is on hold. After termination you have 30 days to download it before it is deleted.

5.8 Verification documents. To open an account we ask for the IRS letter showing your EIN and a photo ID of the company's owner, so that a company can only be claimed by the person who owns it. Those documents are used once, to make that decision, and are deleted from our servers as soon as the decision is made. We keep only the record that the check happened and when. They are never emailed, never shared and never used for anything else.

6. Accounts and passwords

Each login belongs to one named person and must not be shared. That person is responsible for everything done under their login, must use a password they do not use elsewhere, and must tell their company's administrator without delay if they suspect someone else has access to it.

Deactivating the login of someone who leaves your company is your responsibility, and should be done the same day. Sign-ins and changes are recorded, and your company's administrators can read that record.

7. What we do not promise

7.1 The Platform is provided "as is". We do not warrant that it will be uninterrupted or free of errors, and we disclaim all implied warranties, including merchantability and fitness for a particular purpose, to the extent the law allows.

7.2 It is not professional advice. Contract templates, legal clauses, calculations and tax forms in the Platform are reference material. They are not legal, accounting or tax advice. You alone are responsible for checking that they suit your situation, and for complying with building codes, licensing, permits, insurance, worker classification and any other rules that apply to your work in your state.

7.3 Limit of liability. Our total liability for any claim will not exceed the amount you actually paid us in the twelve months before the event giving rise to it. We are not liable for lost profits, lost business, lost data, or indirect, incidental, special or punitive damages.

7.4 You cover us for your own work. You will defend and indemnify us against claims arising from your use of the Platform, from the work you carry out for your clients, and from data you put into the Platform.

8. Ending the agreement

You may end your membership at any time under section 3.3. We may end it immediately for non-payment, for a breach of section 2, for unlawful activity, or where your use puts the security of the Platform or of other companies at risk. In those cases no part of the current month is refunded, and any amount already owed remains payable.

9. General

9.1 Changes to these Terms. We may update them with at least 30 days' notice by email and in the Platform. Continuing to use the Platform after that date means you accept the new version. Each version is dated, and the version you accepted is recorded with the date, time and address it was accepted from.

9.2 Governing law. These Terms are governed by the laws of the State of Texas, and the courts of that state have jurisdiction, without regard to conflict-of-law rules.

9.3 If one clause fails. If any provision is held unenforceable, the rest remain in force.

9.4 Whole agreement. These Terms are the entire agreement between us about the Platform and replace any earlier understanding.
